Article 1

Purpose

These regulations prescribe the basic items concerning the approach to compliance at KASHIWABARA CORPORATION (hereafter referred to as "the Company"), and are intended to ensure complete compliance by the Company.

Article 2

Definitions

Compliance in these regulations refers to the observance of all related laws, ordinances, contracts, in-house regulations, and other clearly documented company rules (hereafter these are collectively referred to as "laws and regulations") in all areas of activities conducted by the Company.

Article 3

Scope

These regulations apply to all officials and employees (full-time employees, contract employees, part-time employees, employees working on extended employment, and temporary employees).

Article 4

Compliance System

  • 1.The division responsible for operating and controlling these regulations shall be the Audit and Compliance Department.
  • 2.The person in charge of implementing and controlling these regulations shall be the manager of the Audit and Compliance Department.
  • 3.The manager of the Audit and Compliance Department may appoint compliance supervisors.
  • 4.The compliance supervisors shall be the sales office mangers and managers of each division, and shall be responsible for the implementation of these regulations.
  • 5.A Compliance Committee shall be established for the purpose of planning and managing the regulations, as well as their adoption, implementation, and support.
  • 6.The organizational system and operation of the Compliance Committee shall be determined separately.

Article 5

Internal Promotion

The Audit and Compliance Department shall plan and systematically carry out education and training related to internal promotion of compliance for officials and employees.

Article 6

Compliance Audits

The Audit and Compliance Department shall plan and propose the methods, timing, personnel, and other issues related to compliance audits of the entire organization, and shall systematically carry out such audits.

Article 7

Acquiring Knowledge of Laws and Regulations

Officials and employees shall endeavor to acquire accurate knowledge related to the laws and regulations that apply to their duties.

Article 8

Action Standards and Prohibited Actions

  • (1) Officials and employees shall faithfully observe the laws and regulations that apply to their duties, and shall take action based on a good social sensibility.
  • (2) Officials and employees shall not instruct other officials and employees to take action that violates laws or regulations.
  • (3) Officials and employees shall not incite other officials and employees to take action that violates laws or regulations.
  • (4) Officials and employees shall not tolerate action that violates laws or regulations by other officials and employees.

Article 9

Disciplinary Action

  • 1.The Company shall take strict punishment against officials who violated laws or regulations.
  • 2.The Company shall take disciplinary action in accordance with the Rules of Employment against employees who violated laws or regulations.

Article 10

Limits on Indemnity

On the grounds that officers and employees be the following , can not escape the responsibility of the laws and regulations violations himself went .

  • (1) The person in question lacked accurate knowledge of the laws or regulations.
  • (2) The person in question did not intend to violate laws or regulations.
  • (3) The action was committed for the purpose of benefiting the Company.

Article 11

Internal Reporting System

  • (1) An internal reporting system shall be constructed so that when an official or employee who receives information concerning an action prohibited in these regulations that occurred or may have occurred, he or she can directly report this information to the person in charge of implementing and controlling these regulations and to the division in charge of compliance.
  • (2) The details of the internal reporting system shall be as prescribed in Guidelines for Operation of the Internal Reporting System that is determined separately.
